The One Number That Is Actually Hers

On 8 August 2025, three days after the deal closed, e.l.f. filed a resale registration statement listing the shareholders who received its stock. One line reads: HRB Investment Associates Inc. — 1,238,437 shares, 2.1% of e.l.f. The footnote is explicit: HRB “is a subchapter S corporation controlled by Hailey R. Bieber, who has sole voting and dispositive power over the shares held by HRB.”

That block was 47.96% of the entire stock consideration of 2,582,371 shares. It is the only hard, personally attributable figure in the whole record, and it is worth sitting with, because it contradicts the received wisdom. Celebrity Net Worth’s estimate assumes she held “50% to 70%” of Rhode — while conceding her stake “has never been publicly confirmed.” Her share of the stock leg came in below even the bottom of that range.

What that block is worth depends entirely on when you count:

  • $144.0 million at $116.28, the closing-day price e.l.f. used for its accounting
  • $93.8 million at $75.72, where e.l.f. trades today

e.l.f. stock has fallen roughly 35% from the closing-day price. If she still holds those shares, the stock half of her payout is worth less now than the day she received it. That alone is enough to rule out the $500 million-plus figures floating around.

Why It Was Never a $1 Billion Deal

The “$1 billion” headline was reported almost everywhere. It is a ceiling being reported as a price.

The merger agreement, filed on 28 May 2025, sets closing consideration at $800 million — $600 million cash and roughly $200 million in e.l.f. stock — plus an earnout of “up to $100 million” on revenue targets and “up to an additional $100 million” for overachievement. Add the maximum earnout to the headline and you get a billion. Neither number was what changed hands.

Here is the detail that settles it. When e.l.f. booked the acquisition, it valued that entire $200 million earnout at $7.1 million — 3.6% of the ceiling. The buyer’s own accountants assigned it almost no probability of paying out in full.

The error runs the other way too, though. The final accounting shows cash of $590.1 million after adjustments and equity of $300.3 million — not $200 million — because e.l.f. shares rose from $77.17 at signing to $116.28 at closing. The sellers received about 50% more stock value than the contract nominally described. Total booked consideration: $897.5 million. e.l.f. also absorbed $47.1 million of Rhode’s own deal expenses.

The Earnout Is Now Paying — and That Is New

By 31 March 2026, e.l.f. had revalued that earnout liability from $7.1 million to $64.7 million — a $57.6 million charge the annual report attributes directly to “the outperformance of rhode’s revenue results relative to the earnout thresholds.”

Applied to her share, that is roughly $31 million pre-tax still to come, and up to about $96 million if the full $200 million eventually pays. Measurement periods run to September 2026, 2027 and 2028.

This also disposes of a widely syndicated claim that Rhode has been missing its sales targets. The filings say the precise opposite, and put a $57.6 million number on it.

What Rhode Was Actually Worth

Because e.l.f. filed Rhode’s standalone audited accounts, we can see the business rather than guess at it — unusual for a celebrity brand.

  • 2024 (audited): net sales $168,962,653, net income $29,933,099 — on marketing spend of just $19.5 million
  • First half of 2025 (reviewed): net sales $102,765,319, net income $35,494,526 — a 34.5% net margin
  • Total capital ever contributed by all members: $10.0 million. A $168 million business built on ten million dollars of paid-in capital
  • Post-acquisition: $293.5 million net sales and $112.8 million net income between 5 August 2025 and 31 March 2026 — driving $293.5 million of e.l.f.’s $323.0 million total annual sales growth

e.l.f. paid approximately 3.8 times Rhode’s $212 million of trailing-twelve-month net sales. And in the six months before closing, Rhode distributed $43.4 million to its members — a real cash event separate from the sale price, though much of it was likely tax distributions.

Two smaller corrections from the accounts. Rhode is universally described as founded in 2022; HRBeauty LLC was actually formed in Delaware in March 2021 — June 2022 was the product launch. And a trademark dispute was settled for $18 million in total consideration, of which $16.8 million was expensed in 2024.

What the Filings Still Do Not Tell Us

We should be equally clear about the limit. Her cash share is not disclosed. The merger agreement defines each seller’s “Pro Rata Share” separately for cash and for stock, so the two percentages need not match — and the Payment Schedule that sets them was omitted from the public filing.

If her cash allocation matched her 47.96% stock allocation, she would have received roughly $283 million in cash, making pre-tax closing proceeds around $379–427 million and net perhaps $230–270 million after a blended federal and California rate on a pass-through exit. That is the arithmetic behind our $300 million, with her modelling career making up the remainder. But if she was deliberately weighted toward stock — common for a founder staying on — her real economic stake is lower than 48% and our figure is too high.

Also unknowable: whether she still holds the shares. At 2.1% she is below the 5% disclosure threshold, and she is not an e.l.f. officer or director, so no ongoing filings exist. Her titles — Chief Creative Officer and Head of Innovation of Rhode, strategic advisor to the combined companies — are brand-level, which is why no compensation for her is disclosed anywhere.

One last thing worth saying plainly: sources that publish her wealth as a couple’s total with Justin Bieber are doing something different from what we are doing here. The properties commonly listed — a Beverly Hills house, an Ontario lake home, a West Village condo — are joint or unattributed, and we do not count them as hers. On the proceeds themselves she has said only: “I want to preserve that for my son’s future… I just want to be smart with it.”
